These Terms of Service ("Terms") are a binding agreement between you, whether personally or on behalf of an entity ("you"), and Automate Labs SL, doing business as Cuadra AI ("Cuadra AI," "we," "us," or "our"), governing your access to and use of our websites, applications, and related services (collectively, the "Services").

1. Agreement to Our Legal Terms
You represent that you are at least the age of majority in your jurisdiction and have the authority to enter into these Terms on behalf of yourself or the entity you represent.
Google API
Our use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Information received from Google APIs is used solely to provide the functionality of our Services to you. Google Workspace data is not used for advertising purposes, and is not used to develop, improve, or train generalized or non-personalized AI/ML models. User content accessed via Google APIs is processed through AI models for inference only, on behalf of the respective user's organization.
2. Description of Service
Cuadra AI provides a multi-provider AI platform that enables you to:
- Train custom AI models on your proprietary data
- Deploy AI assistants via API, embeddable widgets, Channels, or Workspace integrations
- Switch between multiple LLM providers (for example OpenAI, Anthropic, Google, Mistral)
- Monetize your AI models through Cuadra Monetize, where offered
3. Account Responsibilities
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Ensuring your use complies with applicable laws
- The content you upload or connect for use with the Services
4. Acceptable Use
You agree not to:
- Use our Services for illegal purposes
- Upload or connect content that violates third-party rights
- Attempt to circumvent usage limits or security measures
- Resell or redistribute access without authorization
- Use our Services to develop competing products in violation of applicable law or these Terms
Web Connector and URL Sync
If you use the web connector or any feature that fetches content from URLs you configure, you represent and warrant that:
- (a) you have the legal right to access and reproduce the content at those URLs;
- (b) doing so does not violate any applicable law, the terms of service of the content provider, or any third-party intellectual property rights; and
- (c) you will not configure URLs pointing to private, confidential, or access-controlled content you are not authorized to reproduce.
Cuadra AI respects the robots.txt directives of third-party websites. Cuadra AI reserves the right to block access to URLs that are flagged as disallowed or that are reported as infringing.
5. Intellectual Property
Your Content: You retain ownership of content you upload or lawfully connect. You grant us a limited license to process that content solely to provide and operate the Services in accordance with these Terms and our Privacy Policy.
Our Platform: Cuadra AI retains all rights to our platform, APIs, branding, and documentation, subject to any open-source or third-party licenses we disclose.
6. Payment Terms
- Free tier: No payment required, subject to usage limits
- Paid plans: Billed monthly or annually as selected at checkout
- Upgrades may take effect as described in-product; downgrades typically apply at the end of the billing cycle unless stated otherwise
- All fees are non-refundable except as required by law or as we expressly agree in writing
7. Limitation of Liability
To the maximum extent permitted by law, Cuadra AI shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of or relating to the Services shall not exceed the amounts paid by you to Cuadra AI for the Services in the twelve (12) months preceding the event giving rise to the claim, unless applicable law requires otherwise.
8. Changes to Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Where changes are material, we will provide additional notice as required by law. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
